1. Agreement and scope
These Terms of Service ("Terms") are a legal agreement between you (or your organisation) and ENKKI LIMITED (trading as InvoFlow) for access to and use of the InvoFlow platform at invoflow.uk. Company number 17428543. Registered office: 321-323 High Road, Romford, RM6 6AX, United Kingdom.
Your use is also subject to our Privacy Policy, Acceptable Use Policy, and Cookie Policy.
2. Eligibility and account security
- You must be at least 18 and authorised to act for your organisation.
- You are responsible for safeguarding account credentials.
- You must promptly report suspected unauthorised access.
3. Service description
InvoFlow provides software to capture receipts/invoices, extract data, group claims, route approvals, and export/share approved claim data. We may improve, modify, or discontinue features over time.
4. User obligations
- Use the service lawfully and only for legitimate business workflows.
- Ensure uploaded content is accurate and you have rights to upload it.
- Comply with your organisation's internal finance and data policies.
- Do not misuse the platform (see Acceptable Use Policy).
5. Billing and payments
Pricing and plan limits are described on the website. Paid plans may include a trial period before subscription billing starts. Unless otherwise agreed in writing, fees are non-refundable except where required by law.
5.1 Payment processing and providers
To process your payments safely, we use third-party open banking and payment provider services, specifically TrueLayer (TrueLayer Ireland Limited or TrueLayer Limited) and GoCardless (GoCardless Ltd). By completing a transaction on our platform, you agree to be bound by their respective user terms and privacy policies (TrueLayer terms, TrueLayer privacy, GoCardless legal).
5.2 Open banking reimbursements (TrueLayer)
- Authorisation: When choosing secure bank transfer for reimbursement, you explicitly authorise TrueLayer to securely connect to your organisation's bank account to initiate a one-off payment on your behalf.
- Security and credentials: TrueLayer redirects you to authenticate directly with your bank. We never access, view, or store your online banking passwords, biometric data, or login credentials.
- Regulation: TrueLayer is authorised and regulated by the Financial Conduct Authority (FCA) under the Payment Services Regulations 2017.
5.3 Direct Debit subscriptions (GoCardless)
- Mandate setup: When choosing Direct Debit for your InvoFlow subscription, you authorise GoCardless to securely collect scheduled payments from your designated bank account on our behalf.
- Notification: You will receive advance email notification from GoCardless before any funds are deducted from your account.
- Consumer protection: All automated collections managed through this service are strictly covered and protected by the statutory terms of the UK Direct Debit Guarantee.
6. Intellectual property
InvoFlow and its software, branding, and documentation are owned by InvoFlow (or licensors). You retain ownership of your uploaded content. You grant us a limited licence to host, process, and display your content only as needed to provide the service.
7. Suspension and termination
We may suspend or terminate access for material breach, fraud, abuse, security risk, non-payment (once billing applies), or legal/regulatory requirements. You may stop using the service at any time.
8. Warranties and disclaimers
The service is provided on an "as is" and "as available" basis. We do not warrant uninterrupted operation, error-free output, or perfect extraction accuracy. You remain responsible for reviewing and approving financial data before relying on it.
9. Liability cap
To the maximum extent permitted by law, InvoFlow will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profit/revenue/data. Our total aggregate liability under these Terms is limited to the fees paid by you to InvoFlow in the 12 months before the event giving rise to the claim (or £100 if no fees were paid).
10. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, unless mandatory consumer law provides otherwise.
11. Changes to these terms
We may update these Terms from time to time. We will publish the new version and update the "Last updated" date. Material changes may require renewed in-app acceptance.
